Company formation

If you are starting out with partners or want to keep your personal assets separate from the business, setting up a company may be the best option. We take care of the whole process.

What it involves

Setting up a company means creating a business with its own legal personality, separate from that of its partners. The most common type is the limited company (sociedad limitada, S.L.), where, as a general rule, the partners are not liable for the company's debts with their personal assets. The process includes the articles of association (estatutos), the deed signed before a notary, registration at the Companies Registry (Registro Mercantil) and registration with the Tax Agency (Hacienda).

Is this your case?

  • You are about to start a business with one or more partners.
  • You already work as self-employed and are thinking of switching to a company.
  • You are a foreign national and want to invest or start a business in Spain.
  • You need a company for a specific project or to hire employees.

How we help

We study your project and advise you on the type of company that fits best. We draft the articles of association and, if there are several partners, we recommend that you also sign a shareholders' agreement. We handle the company name, the signing before the notary, the registration and the tax registration, so that you can start operating as soon as possible. We can help you in Spanish, Arabic, Tamazight, French and English, at our offices in Tenerife, Gran Canaria, Málaga and Barcelona or online, wherever you are in Spain.

If you still work on your own, you may be better off starting with self-employed registration; and if you have partners, we help you with the shareholders' agreement.

Frequently asked questions

Which is better: being self-employed or setting up a company?
It depends on your income, on whether you have partners and on how risky your business is. We look at your case and tell you which option suits you best.
Can a foreign national set up a company in Spain?
Yes. You will need an NIE and, depending on your situation, a residence permit that allows you to work in the company. We help you with both.
What is a shareholders' agreement?
It is a private agreement between the partners that covers what the articles of association do not, such as what happens if one of them wants to leave or how important decisions are made. It prevents a lot of conflicts.
