What it involves

Corporate books (libros societarios) are the compulsory records in which a company keeps track of its internal life: the minutes of its meetings, who its partners are and, where applicable, contracts with the sole partner. Today they are kept in electronic format and submitted periodically to the Companies Registry (Registro Mercantil) for legalisation.

Is this your case?

  • Your company has never legalised its books or has not done so for some time.
  • There has been a sale of shares and the register of partners needs updating.
  • You are the sole partner and sign contracts with your own company.
  • The Companies Registry has refused to legalise your books because of a defect.

How we help

We review which books your company has and what state they are in. We enter the minutes and changes in partners, prepare the files and submit them to the Companies Registry. If several financial years are missing, we propose how to regularise them. And if you prefer, we take care of keeping them up to date so that you do not have to worry. We can help you in Spanish, Arabic, Tamazight, French and English, at our offices in Tenerife, Gran Canaria, Málaga and Barcelona or online, wherever you are in Spain.

We also help you draft the minutes of the general meeting that go in the book and meet the rest of your commercial obligations.

Frequently asked questions

Which books does a limited company have to keep?
As well as its accounting records, an S.L. generally keeps a minute book and a register of partners and, if it has a single partner, a register of contracts with that partner. We explain which ones apply to you.
What happens if we have never legalised the books?
It is more common than you might think. They can be regularised, and the sooner the better, because the books may be needed to prove resolutions or who the partners are. We work out with you how to bring them up to date.
How do I prove that I am a partner in a company?
With the deed of incorporation or purchase and with the entry in the register of partners, from which certificates can be requested. If the register is not up to date, it can be hard to prove, for example to a bank or in an official procedure.
